An individual guilty of certain criminal offences or regulatory breaches, who is prohibited from participating in private placement offerings.

Any person or entity guilty of criminal or unethical behaviour in a financial context.
3. Politics.
More broadly, any participant in an illegal, harmful or morally wrong act or process, within a region or jurisdiction, or globally.
